The emerging managers we work with today are navigating a fundraising environment that has shifted materially.
Limited Partner (LP) due diligence is more rigorous, timelines have extended and LPs are scrutinising operational infrastructure, governance and jurisdiction with a thoroughness that emerging managers often underestimate.
The jurisdiction you choose will shape your speed to market, your cost base, the investors you can reach and the credibility you carry into a fundraise. These are not decisions to revisit once the investment thesis is set. They are part of the pitch.
Emerging managers navigating this environment typically face three related concerns:
- Whether their chosen jurisdiction gives them access to the LP base they need from a single domicile.
- Whether the fund regime they use will accommodate their growth without forcing a costly restructure.
- Whether it will pass LP compliance scrutiny without becoming a conversation in itself.
What Jersey Offers
Jersey has spent more than 60 years building a funds environment that addresses all three of these concerns.
Broad marketing reach from a single domicile: under the National Private Placement Regime, Jersey funds can access European capital without the full cost and compliance burden of AIFMD. North America, the Middle East and Asia-Pacific carry no restriction.
A regulatory reputation that does work for you: Jersey's 2024 MONEYVAL evaluation rated it among the highest-performing jurisdictions globally for financial crime prevention. In a market where one failed AML screen can derail an allocation, jurisdictional reputation is not a soft factor.
A tax-neutral platform: no capital gains tax, no withholding tax on interest or distributions, no stamp duty on share transfers. Tax is borne where investors are resident rather than leaking out at fund level, which is a material advantage when modelling net returns with prospective LPs.
A deep alternatives ecosystem: with alternative asset classes now representing roughly 87% of total funds business, Jersey is internationally recognised for private equity, venture capital, real estate, private credit and infrastructure. For an emerging manager, that concentration matters. The island has the lawyers, auditors, administrators and directors who understand your asset class and have executed similar structures many times before.
Regulatory Options in Jersey
One of Jersey's biggest advantages is the flexibility to match the fund regime to your strategy, investor base and ambitions.
The Jersey Private Fund (JPF) is frequently the right starting point for most emerging managers: light-touch, with no audit or prospectus required and authorised with a 24-hour turnaround via a registered Designated Service Provider (DSP). Following changes in 2025, a JPF can now accommodate an unlimited number of professional investors.
Recent JPF Enhancements — The JPF fund regime became significantly more attractive when the Collective Investment Funds (Jersey Private Funds) Order 2025 took effect. The key changes:
- The 50-investor cap has been removed. A standard JPF may now make an unlimited number of offers and admit an unlimited number of investors, provided each qualifies as a professional investor under the revised JPF Guide.
- A broader professional investor definition widens the eligible pool.
- Listing is now permitted, subject to JFSC consent.
- 24-hour authorisation is available for complete applications submitted via a registered DSP.
For managers who need a different route, the Eligible Investor Fund offers moderate oversight where eligible investor criteria can be met and the fully regulated Collective Investment Fund is available for those requiring unrestricted marketing or a broader investor base from launch.
Structuring Your Fund
Jersey's legal framework accommodates almost any structure an alternatives manager is likely to want:
- Limited Partnerships: by far the most common choice, with modern Jersey LP legislation covering traditional, separate and incorporated structures built around the needs of private capital managers and their investors.
- Unit trusts: well suited to real estate and income-generating strategies and to investors more familiar with trust structures.
- Corporate vehicles: including limited liability companies and protected or incorporated cell companies.
This range gives managers genuine flexibility to design around investor, tax and regulatory requirements.
Why Jersey Works Especially Well for Emerging Managers
Several features make Jersey a natural home for emerging managers looking to build their track record:
- Speed to market: the JPF's 24-hour authorisation route means you can move from documentation to launch in days rather than months, which matters when you are working to an LP's timetable.
- Proportionate cost: start with the infrastructure you need and add as AUM grows, rather than over-engineering and over-paying on day one.
- A fund regime that grows with you: with the 50-investor cap removed, you will not be forced into a costly restructure just because your fundraise succeeds. Launch lean, scale without re-papering.
- Institutional credibility from day one: domiciling in a white-listed, MONEYVAL-strong jurisdiction helps emerging managers, and first-time managers in particular, clear institutional due diligence that a less-established jurisdiction might not.
- UK alignment: English-language, common-law-aligned, GMT and a short flight from London. Easy for UK and European LPs and advisers to engage with.
The Decisions That Determine Your Outcome
Three practical considerations shape how smoothly a Jersey launch goes.
Designated Service Provider: every JPF must appoint a Jersey-based DSP responsible for carrying out CDD, ongoing monitoring and for confirming eligibility to the JFSC. Your DSP is not an administrative afterthought. It is the entity that gets your fund authorised and keeps it compliant. Choosing the right one is one of the most important and consequential early decisions you will make.
Governance and substance: Jersey expects investment management and oversight to be properly supported locally, with appropriate substance and a suitable governing body. Many managers seek appointment to the board of the fund's governing entity; depending on the fund regime, this may require JFSC pre-approval. A strong local partner makes this straightforward rather than daunting.
Cost and value: where you launch will be driven by your investor count, where those investors sit and your reporting obligations. Jersey strikes a deliberate balance: deep expertise and robust-but-proportionate regulation, at a cost that works for managers who are early in their journey. The objective is value, not simply the lowest headline fee.
Conclusion
The managers who close their next fund efficiently treat setup with the same rigour they bring to their investment thesis. In a market where LPs are conducting due diligence in depth, your operational choices in jurisdiction, DSP and governance are either working for you or creating friction you will need to overcome in every LP meeting. Jersey, properly structured and with the right partners in place, makes sure that friction never arises.
Choosing Jersey is the first decision. Choosing the right partner to take you through it is the next and, for an emerging manager with limited launch experience and a long to-do list, it is the one that most often determines whether the launch lands successfully. We regularly act for first-time and emerging managers and understand the practical challenges of a first fundraise, including investor due diligence, operational set-up, board composition, and not just the regulatory process.
